Commission Established
The Upper Darby Historical Commission was established effective September 1, 1991, and shall advise the Township concerning the Township's administration of any property designated by the Township as a "Historical Property" or a "Protected Property."

Definitions
A "Historical Property" is defined as any property located within the boundaries of Upper Darby Township which the Township has determined to have such historical significance and value so as to be deserving of preservation by the Township acquiring either ownership or the right to administer and operate the property.

A "Protected Property" is defined as any property located within the boundaries of Upper Darby Township which the Township has determined is of such general significance and value so as to be deserving of protection from physical deterioration by the Township acquiring either ownership or the right to administer and operate the property.

Composition
The Upper Darby Historical Commission shall be composed of seven (7) members who will be appointed by the Mayor with the approval of Council. The Mayor will designate one of the members as Chairman of the Commission. The Director of the Department of Leisure Services shall be a non-voting ex-officio member of the Commission.

Qualifications
Commission members must be residents of Upper Darby Township for at least one (1) year preceding the date of appointment and citizens of the United States. A member must remain a resident of Upper Darby Township throughout his or her term of service.

Terms for Commission Members
All commission members will be appointed to serve staggered three (3) year terms.

Avoidance of Conflict of Interest
In order to avoid the possibility of a conflict of interest, no member during his or her term on the Historical Commission may serve on any other board or agency which administers any historical project in the Township or be an officer or director with another historical agency which administers any "Historical Property" or "Protected Property" within Upper Darby Township.

Powers of the Commission
The commission shall recommend guidelines for the operation and use of any "Historical Property" or "Protected Property." All such guidelines will not be effective until first approved by the Mayor.

The commission shall hear requests for any use of a "Historical Property" or "Protected Property" and shall advise the Mayor as to the appropriateness of any such request. Any applicant whose use request is approved by the Mayor shall then receive a permit from the Director of the Department of Leisure Services, provided the applicant has also complied with all other applicable rules and regulations.

The Commission shall provide the Mayor with its recommendations for the resolution of any issues which arise in connection with the Township ownership ad/or operation of any "Historical" or "Protected Property."

The Commission shall be able to negotiate the terms of any Agreements in connection with the Township's ownership and/or operation of any "Historical Property" or "Protected Property" but may not enter into such Agreements either on its behalf or on behalf of the Township. Once the terms of such an Agreement are agreed upon, the commission shall forward the Agreement to the Mayor together with its recommendations. the mayor shall then review the Agreement and determine whether to ask the Township Council for authorization to execute the Agreement.

Meetings
The commission shall hold public meetings regularly at least once each quarter of every calendar year at such times and places as the Commission may prescribe by rule.

The Chairman, or in his absences, a member designated by the Chairman, shall preside at Commission Meetings.

The Commission shall conduct no business except in the presence of a quorum which shall be constituted by a majority of the members of the Commission.

All recommendations and actions of the Commission must be approved by a majority of the members voting. A tie vote shall be considered the same as a vote against the action or recommendation under construction.
